TERMS & CONDITIONS (API DATA SERVICE)

These Terms & Conditions (“Terms”) govern access to and use of the website hlocal.io (the “Website”) and the API data services provided by HYPERLOCAL ANALYTICS LLC, a company registered in Greece with registered address at Ippodamias Square 8 18531 Piraeus, Greece, and registration number ΓΕΜΗ:187657507000 (“Company”, “we”, “us”, “our”). By accessing the Website, creating an account, subscribing, or using the API, you (“Customer”, “you”) agree to be bound by these Terms. If you do not agree, do not use the Website or API.

1. Definitions

API: the application programming interface made available by us for accessing Data.
Data: freight volume and related datasets, outputs, indicators, and any information made available through the API or Website.
Service: access to the API, documentation, keys, dashboards (if any), and related support.
Subscription: a paid plan granting access to the Service under defined limits.
Documentation: API documentation and usage guides provided by us.

2. Scope of service

2.1 We provide Customers with API access to Data related to freight volumes in Europe.
2.2 The Service may include estimates, derived indicators, aggregated results, or modeled outputs.
2.3 We may update, change, suspend, or discontinue any part of the Service (including Data sources, endpoints, or formats) at any time. We will use reasonable efforts to communicate material changes.

3. Eligibility and business use

3.1 The Service is intended for professional and business use (B2B).
3.2 By using the Service, you confirm that you are acting in a professional capacity on behalf of a business or organization.

4. Account, API keys and security

4.1 You may be required to create an account. You must provide accurate and complete information.
4.2 You are responsible for maintaining the confidentiality and security of your login credentials and API keys.
4.3 You must notify us promptly of any unauthorized use of your account or API keys.
4.4 You are responsible for all activity performed using your account and API keys.

5. License and permitted use

5.1 Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the API and Data for your internal business purposes and/or incorporation into your own products/services, only as permitted by your Subscription.
5.2 You may not:copy, resell, sublicense, rent, lease, or otherwise commercially redistribute the Data or API access as a standalone product;share API keys with third parties;attempt to reverse engineer, scrape, or bypass access controls;use the Service in a way that violates law, infringes rights, or harms the Service.
5.3 If you want redistribution rights (e.g., reselling Data), you must enter a separate written agreement with us.

6. Usage limits and fair use

6.1 Your Subscription may include request limits, rate limits, and/or quotas. These may be described on the Website or in your account.
6.2 Excessive use, abuse, or attempts to circumvent limits may result in throttling, suspension, or termination.

7. Fees, billing and taxes

7.1 Fees are as listed on the Website or agreed in writing.
7.2 Fees are payable in advance (unless otherwise stated). All payments are non-refundable except as required by law or expressly stated in these Terms.
7.3 Prices exclude applicable taxes (including VAT), unless stated otherwise.
7.4 If payment is overdue, we may suspend access until payment is received.

8. Service availability and support

8.1 The Service is provided on a best-effort basis. We do not guarantee uninterrupted availability, uptime, latency, or error-free operation.
8.2 Scheduled maintenance and emergency maintenance may occur.
8.3 Support, if provided, is limited to the support level included in your Subscription.

9. Data disclaimer

9.1 Data is provided “AS IS” and “AS AVAILABLE”.
9.2 The Data may be incomplete, delayed, estimated, modeled, aggregated, or subject to revisions. We do not warrant that the Data is accurate, complete, current, or fit for any specific purpose.
9.3 You acknowledge that Data may rely on third-party sources and methodologies, and may contain errors.
9.4 You are solely responsible for:validating Data before use,your decisions and actions based on the Data,compliance with any regulatory, contractual, or industry obligations applicable to your use.

10. No warranties

To the maximum extent permitted by applicable law, we disclaim all warranties and conditions, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

11. Limitation of liability

11.1 To the maximum extent permitted by law, we will not be liable for any:indirect, incidental, special, consequential, or punitive damages,loss of profits, revenue, goodwill, business interruption,loss of data, or costs of substitute services,
arising out of or related to the Service, Data, or these Terms.
11.2 Our total aggregate liability arising out of or related to these Terms shall not exceed the total fees paid by you to us for the Service in the three (3) months immediately preceding the event giving rise to liability.
11.3 Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law (e.g., fraud or willful misconduct).

12. Indemnity

You agree to indemnify and hold harmless the Company and its officers, directors, employees, and affiliates from and against any claims, liabilities, damages, and expenses (including reasonable legal fees) arising from:your use of the Service or Data,your breach of these Terms,your violation of law or third-party rights.

13. Intellectual property

13.1 The Website, API, Documentation, and all associated intellectual property are owned by us or our licensors.
13.2 Except for the limited license granted under these Terms, no rights are granted to you.
13.3 You may not remove copyright, trademark, or proprietary notices.

14. Confidentiality

14.1 API keys, non-public Documentation, and non-public pricing are confidential information.
14.2 You agree not to disclose confidential information to third parties.

15. Terms, suspension and termination

15.1 These Terms apply while you use the Service.
15.2 We may suspend or terminate access immediately if:you breach these Terms,you fail to pay fees,your use threatens security, integrity, or availability of the Service.
15.3 Upon termination:your license ends immediately,you must stop using the API and Data,outstanding fees remain payable.

16. Privacy

Our Privacy Policy is provided separately and describes how we process personal data.

17. Force majeure

We are not liable for delays or failures caused by events beyond our reasonable control, including outages, internet failures, strikes, governmental actions, supplier failures, or force majeure events.

18. Governing law and jurisdiction

18.1 These Terms are governed by the laws of Greece, excluding conflict of law rules.
18.2 The courts of [Athens/Thessaloniki/your city], Greece shall have exclusive jurisdiction to settle any dispute arising out of or related to these Terms, except where mandatory law provides otherwise

19. Changes to these terms

We may update these Terms from time to time. Updated Terms will be posted on the Website with a revised “Last updated” date. Continued use of the Service after updates constitutes acceptance.
